Terms and Conditions and Customer Information

I. General Terms and Conditions

§ 1 Basic Provisions

(1) The following terms and conditions apply to contracts concluded with us as the provider (Noemi Professional / NPM Group S.R.L.) via the website or through other means of distance communication, unless otherwise agreed in writing between the parties. Deviating or conflicting terms and conditions shall only apply with our express consent.

(2) We offer our products for purchase and our courses for booking only to natural or legal persons or partnerships acting in the exercise of their commercial or independent professional activity (entrepreneurs). A contract with consumers is excluded.

§ 2 Conclusion of Contract for Goods

(1) The subject of the contract is the sale of goods. The essential characteristics of the goods can be found in the respective product description.

(2) By listing products on our website, we make a binding offer to conclude a contract via the online shopping cart system under the conditions stated in the respective offer.

(3) The contract is concluded via the online shopping cart system as follows:
Products intended for purchase are placed in the “shopping cart.” You can access and modify the cart at any time via the navigation bar.

After clicking “checkout” (or similar) and entering personal data as well as payment and shipping details, you will be shown a final order overview.

If you use an express payment system (e.g. PayPal, Amazon Pay), you may be redirected to the provider’s website or returned to our store for final confirmation.

Before submitting the order, you may review, modify, or cancel it. By submitting the order, you accept the offer and the contract is concluded.

(4) You may also place binding orders via distance communication (e.g. telephone, email, or post).

Acceptance occurs within 5 days via confirmation in text form (e.g. email). If no confirmation is received, you are no longer bound to your order.

(5) Upon request, we may provide individual offers in text form, which remain valid for 5 days unless otherwise stated.

(6) Order processing and communication are carried out via email. You are responsible for ensuring that your email address is correct and that emails are not blocked by spam filters.

§ 3 Individually Customised Goods

(1) You must provide necessary content (texts, files, information) via the ordering system or by email.

(2) You confirm that submitted content does not violate third-party rights or applicable law. You indemnify us against any third-party claims.

(3) We do not verify content for accuracy and assume no liability for errors.

(4) Proofs (if applicable) must be approved in text form before production. No production occurs without approval.

§ 4 Conclusion of Contract for Courses

(1) The subject of the contract is the booking of courses. Details are provided in the respective offer.

(2) Online offers are non-binding.

(3) Binding bookings can be made via distance communication. Acceptance occurs within 5 days via booking confirmation in text form.

(4) Individual offers remain valid for 5 days unless otherwise stated.

(5) Email communication is used for processing; correct email delivery must be ensured.

§ 5 Course Performance

(1) Courses are conducted on agreed dates.

(2) If a minimum number of participants is required, this is stated in the offer. If not reached, cancellation occurs at least 7 days prior.

(3) In case of cancellation due to illness or force majeure, refunds or replacement dates will be provided.

(4) House rules must be followed during courses.

§ 6 Substitute Participants

You may appoint a substitute participant at any time free of charge.

§ 7 Prices, Payment Terms and Shipping Costs

(1) All prices and shipping costs are net prices and do not include VAT.

(2) Shipping costs are charged separately unless free shipping is stated.

(3) Additional costs (customs, taxes, bank fees) may apply for international deliveries outside the EU and are borne by the customer.

(4) Bank fees for payments from outside the EU may be charged to the customer.

(5) Payment methods are as displayed at checkout. Payments are due immediately unless otherwise stated.

§ 8 Delivery Conditions for Goods

(1) Delivery times are stated in the product description and are not binding unless confirmed.

(2) If goods are unavailable despite proper sourcing, the customer will be informed and payments refunded.

(3) Shipping is at the customer’s risk. Insurance is optional at additional cost.

(4) Partial deliveries are permitted if reasonable.

§ 9 Warranty

(1) Warranty period is one year unless legally prohibited (e.g. injury, fraud, guarantees).

(2) Only our product description is binding.

(3) We may choose repair or replacement. If both fail, the customer may request reduction or cancellation.

§ 10 Retention of Title

(1) Goods remain our property until full payment is received.

(2) Resale is permitted; claims are assigned to us.

(3) Processing or mixing results in co-ownership.

§ 11 Governing Law

German law applies excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

3. Contract Language and Storage

3.1 Contract language is English/Italian (or English/Italian if used in ordering process).
3.2 The contract text is not stored permanently by us. It may be saved or printed by the customer before submission.
